STATEMENT OF WORK — WEBSITE DEVELOPMENT
This Statement of Work ("SOW") is entered into between the client ("Client") and the undersigned developer ("Contractor") for the development of a website, effective as of the date of signature.
1. Services
1.1 Contractor shall build a website and provide related services as needed to meet Client's requirements.
2. Fee
2.1 The total fee for the Services is $25,000.
2.2 Payment of the total fee shall be due within ninety (90) days of final delivery and acceptance.
2.3 Payment is contingent upon Client's acceptance, which Client may grant or withhold in its sole discretion.
3. Revisions
3.1 Contractor shall provide revisions until Client is fully satisfied, at no additional cost.
4. Intellectual Property
4.1 All work product and related materials, including any pre-existing tools or libraries used, are hereby assigned to Client upon execution of this SOW.
5. Indemnification
5.1 Contractor shall indemnify and hold Client harmless from any and all claims, damages, and losses arising from the Services, without limitation.
6. Termination
6.1 Client may terminate this Agreement at any time for convenience; Contractor may terminate only for Client's material breach uncured for thirty (30) days.
7. General
7.1 This SOW constitutes the entire agreement between the parties.
Missing protections
- Deposit / upfront payment. Without one you carry 100% of the risk if the client walks mid-project.
- Kill fee. Nothing entitles you to payment for work done if the client cancels.
- Limitation of liability cap. No cap is what makes the §5.1 indemnity so dangerous.
